Welcome to the PTTOW! Catalyst for Change grant application! By applying for this Catalyst for Change grant you agree to the following terms and conditions (“Terms and Conditions”).

You understand that as of the date of these Terms and Conditions, there are two Catalyst for Change grants being offered, each in the amount of $5,000 (“Grant” or “Grants”). These Grants are open to any K-12 educator located in the 50 states of the United States of America. We will be accepting applications from 9:00am CT Jun 10th, 2022 through and including 9:00pm CT September 15th, 2022. Each Grant award will be chosen by the Selection Committee in accordance with the selection criteria as outlined by the Organizers, for the introduction or deepening of an educational program that embraces diversity and amplifies empowered student voices to share their own stories globally - thereby destabilizing stereotypes (example programs might include vlogging, podcasting, music, journalism, and other platforms that elevate voices etc.). Grant decisions will be announced by or before 9:00pm CT September 15th, 2022 unless extended by the Organizers.

These Grants are being offered by a PTTOW! social justice taskforce by the name of Catalyst for Change (the “We”, “Organizers”). 

We know that your privacy is important. For this reason, we have created a privacy policy that describes our collection, use and disclosure practices regarding any personal information that you provide to us.PLEASE NOTE THAT, to the extent permitted by applicable law, these Terms and Conditions are subject to change by the Organizers in their sole discretion at any time. When changes are made, we will make a new copy of the Terms of Use available at the Website. We will also update the “Last Updated” date at the top of the Terms and Conditions. If we make any material changes, and you have registered with us to apply for the Grant, we will also send an email to you at the last email address you provided to us pursuant to these Terms and Conditions. Any changes to the Terms will be effective immediately. 

1. Your submissions.
You acknowledge you are solely responsible for all information shared in connection with your Grant application, including all content, data, text, audio and video, messages, and/or other materials (“Content”). For the avoidance of doubt, you are also solely responsible for obtaining all required rights, approvals and licenses (as needed) for any third party Content shared.

2. Ownership
For the avoidance of doubt, the Organizers will continue to own all rights arising out of any data or content created by them, including the website and Grant application; and you will continue to own all rights associated with Your Content, and neither party makes any contrary claim to such ownership.

3. License to Your Content
.
a. You Grant the Organizers a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive and fully sublicensable right (including moral rights) and license to use, distribute, reproduce, modify, adapt, publicly perform, publicly display, mechanically reproduce, synchronize, and communicate to the public, any content you submitted for this Grant application (Your Content), in whole or in part, for the winner announcement of the Grant, impact reports, or for the promotion of future Grants.

b. You agree that you, not the Organizers, are responsible for all of Your Content that you make available as part of this Grant application. You warrant that the holder of any worldwide intellectual property right, including moral rights, in Your Content, has completely and effectively waived all such rights and validly and irrevocably Granted to you the right to Grant the license stated above.

4. Content by Children under the age of 13.
This Grant is intended to be available to educators in an accredited K-12 school setting, and any supporting content of any children under the age of 13 years old is provided only with the consent of a teacher, school, or district as defined in the Child Online Privacy and Protection Act (“COPPA”). By applying for this Grant you agree to comply with all applicable laws including COPPA.  If you learn that that personal information from a person under the age of 13 has been entered into the system in violation of any laws, please notify us at createchange@pttow.com and we will delete that information in a reasonable, prudent amount of time.

5. HIPPA
This Grant is not intended for use in a medical setting and is not intended to collect medical information. If you become aware of any personal medical data in any Grant submission, please notify us at createchange@pttow.com and we will delete that information in a reasonable prudent amount of time.

6. Accessibility. 
The Organizers are committed to ensuring that the Grant applications remain accessible to all individuals, regardless of disability.  The Organizers will take reasonable steps to ensure that the application process meets common industry standards for accessibility and materially comply with the requirements of the Americans with Disabilities Act (“ADA”), as applicable.  If you have any suggestions about improvements the Organizers can make to enhance the accessibility of the Services, please contact us at createchange@pttow.org

7. Your Data. 
As an education Grant organizer that may collect data about K-12 and postsecondary students, the Organizers are subject to certain laws and regulations, some of which are described below.  Please visit our Privacy Policy for more information on how we collect, use, and safeguard “Data.”

a. The Organizers will materially comply with all applicable federal and state student privacy laws and regulations.  In the event that we become aware of any Sensitive Information pertaining to K-12 students, we will only provide access to the members of our social justice taskforce, employees and subcontractors who need to access the data.

b. “Sensitive Information” means, collectively, (1) personally identifiable information as defined in the Family Educational Rights and Privacy Act of 1974 (20 U.S.C. § 1232g; 34 CFR Part 99) (“FERPA”); (2) educational records, as defined in FERPA (34 C.F.R § 99.3); pupil records as defined in California Education Code section 49703.1; and covered information as defined in California Business & Professions Code section 22584 (“SOPIPA”).

8. Storage.
Unless expressly agreed to by the Organizers in writing elsewhere, the Organizers have no obligation to store any of Your Content that you Make Available for this Grant application. Unless specifically requested inwriting, the Organizers have no responsibility or liability for the deletion of Your Content; or for the failure to store, transmit or receive transmission of Content; or the security, privacy, storage, or transmission of other communications originating out of the Grant application.

9. Use of Funds
a. Grant funds may be expended only for educational purposes, specifically covering direct costs associated with the introduction or deepening of the program proposed in the Project (“Proposed Project”), subject to the terms of this agreement. In the event that you are awarded one of the Grants, you agree to obtain our prior written approval should there be any material changes to the Proposed Project at any point during the course of this Grant.

b. You confirm that this Proposed Project is under your complete control. You further confirm that you will exercise control over the process of selecting any secondary grantee or co-teacher.

10. Restriction on Use of Funds
a. In connection with the activities to be funded under this Grant, you acknowledge that you are responsible for complying with all relevant laws and regulations of the city, state  and countries in which such activities are conducted.

b. You hereby confirm that Grant funds will not be used to carry on propaganda, to lobby or otherwise attempt to influence legislation or to conduct any activities described in Sections 4945(d) and (e) of the United States Internal Revenue Code and the Treasury Regulations thereunder. You further confirm that the primary purpose of undertaking the work described in your proposal is not for use in lobbying. For your information, a summary of the types of activities prohibited under Section 4945 of the United States Internal Revenue Code is available. Further questions regarding impermissible activities should be directed to a tax or legal advisor. 

c. You agree that Grant funds will be used in compliance with all applicable anti-terrorist financing and asset control laws, regulations, rules and executive orders, including but not limited to, the USA Patriot Act of 2001 and Executive Order No. 13224.

11. Grant Publicity
We may include basic information about this Grant, including winner names, through a variety of public channels, including press releases, publications, videos, social media, and our website.

12. Right to Discontinue Funding, rescind Payments, and Require Return of Unspent Funds
We may, at our sole discretion, discontinue or suspend funding, rescind payments made or demand return of any unspent funds based on any of the following: 
a. Grant funds have not been used for their intended charitable purposes or have been used inconsistent with these Terms and Conditions;

b. Any Grant requirements as outlined in these Terms and Conditions have not been met;

c. We are not satisfied with the progress of the activities funded by the Grant;

d. The purposes for which the Grant was made cannot be accomplished; or

e. Making any payment might, in the judgment of the Organizers, expose the organization and/or its affiliates to liability, adverse tax consequences, or constitute a taxable expenditure.

We will provide notice of any determinations made under this paragraph. In the event we take action permitted by this paragraph solely based on (c) and (d), and your organization provides documentation that it has incurred obligations consistent with the terms of the Grant in good faith reliance on this agreement and the approved budget, the Organizers will consider in good faith permitting Grant funds to be used to pay such obligations.

13. Right to Recover Spent Funds
You agree to repay the Organizers of the Grant, upon demand, the amount of any funds spent for purposes inconsistent with or contrary to these Terms and Conditions or the approved budget.

14. Limitation of Liability
Liability means any liability whether under contract, tort or otherwise, including for negligence. Neither party’s aggregate liability, arising out of or relating to this Grant, shall exceed the amount of the Grant paid to the grantee.
